Pay-as-you-go Terms of Service

1. Overview
Section titled “1. Overview”These Terms of Service (“Terms”) apply to customers who use Smartix services on a Pay-As-You-Go (“PAYG”) or free-tier basis.
By creating an account, accessing Smartix Studio, using the Smartix API or Smartix Scan, or generating wallet passes, you agree to these Terms.
If you do not agree, you must not use the Service.
These Terms form part of the Smartix legal framework, alongside the Smartix Privacy Policy, Data Processing Agreement (DPA), Service Level Agreement (SLA), and related documents published at www.smartix.uk/terms.
2. Access to the Service
Section titled “2. Access to the Service”All tiers—including the Free tier and PAYG tiers—have access to:
- Smartix Studio
- Smartix API
- Smartix Scan
You must keep your login credentials secure and notify Smartix immediately of any unauthorised access.
Smartix may improve, update, modify, or discontinue parts of the Service at any time, provided core functionality for PAYG users is not unreasonably impaired.

3. Active Pass Limits
Section titled “3. Active Pass Limits”Each PAYG or free-tier plan includes a maximum number of active passes permitted at any one time.
- You may create and delete passes freely, as long as the number of active passes does not exceed your plan limit.
- You may issue, revoke, and regenerate passes without restriction provided the active-pass limit is respected.
- Smartix may prevent new pass creation when your active-pass limit is reached.

4. Payment and Fees
Section titled “4. Payment and Fees”PAYG tiers require payment of a monthly fee in exchange for a monthly active-pass allowance.
Fees are processed via Stripe.
- Fees are billed monthly in advance.
- Prices are shown in GBP and exclude VAT unless stated otherwise.
- Payments are non-refundable once processed.
- Smartix does not offer credits or refunds for unused time or unused allowance.
4.1. Grace Period & Failed Payments
Section titled “4.1. Grace Period & Failed Payments”If payment fails:
- Smartix will notify you via email.
- You will receive a reasonable grace period to bring payment up to date (duration determined case-by-case based on account history).
- If payment is not made within the grace period, your account may be suspended.
4.2. Chargebacks
Section titled “4.2. Chargebacks”A chargeback will result in immediate account suspension, and Smartix may cancel the account at its discretion.
Because monthly fees are low (£50 maximum), Smartix may simply terminate the account rather than pursue recovery.
5. Invoices and Billing Records
Section titled “5. Invoices and Billing Records”Invoices are automatically issued at the time of payment and:
- Made available in Smartix Studio
- Sent to your registered email address
You are responsible for ensuring your billing information is accurate.
6. Notifications and Usage Rules
Section titled “6. Notifications and Usage Rules”Smartix allows you to send notifications to wallet passes subject to both Smartix rules and third-party platform restrictions.
6.1. Google Wallet Notification Limits
Section titled “6.1. Google Wallet Notification Limits”Google imposes surfaced-notification limits:
- 3 notifications per pass per 24 hours
6.2. Smartix Reasonable Use Requirements
Section titled “6.2. Smartix Reasonable Use Requirements”Customers must use notifications responsibly. Excessive, spam-like, abusive, or disruptive notification behaviour is not permitted.
Examples:
- Not allowed: daily advertising messages to all passes
- Allowed: operational updates such as event reminders or schedule changes

Smartix may suspend accounts that breach the Fair Use Policy or act unreasonably.
6.3. External Notification Limits (Google Wallet)
Section titled “6.3. External Notification Limits (Google Wallet)”Google limits lock-screen surfaced notifications to:
- 3 per pass per 24 hours
- 8 per pass per 24 hours for UK rail passes (monthly contract customers only)
Smartix enforces these restrictions automatically.
6.4. Smartix Usage Expectations
Section titled “6.4. Smartix Usage Expectations”Smartix does not charge for notifications, but customers must use the system responsibly and reasonably.
Excessive, abusive, or spam-like notification activity may result in suspension.
Examples:
- Not allowed: daily advertisements to all pass holders.
- Allowed: sending event-related updates in the days leading up to the event.
Smartix will review misuse on a case-by-case basis.
7. Acceptable Use
Section titled “7. Acceptable Use”You agree not to use Smartix for unlawful, fraudulent, harmful, or misleading purposes.
Examples of prohibited activities include:
- Misuse of notifications or pass updates
- Generating deceptive or misleading passes
- Interfering with Smartix systems
- Breaching Apple or Google Wallet policies
- Uploading unlawful or prohibited content
- Attempting to reverse engineer Smartix systems
Smartix may suspend or terminate accounts engaging in prohibited behaviour.
8. Support
Section titled “8. Support”Support for PAYG users is available through the Smartix Studio help system.
Smartix aims to:
- Respond to general requests within 2 business days
- Address service-critical issues as soon as possible, 24/7
Response times are targets, not guarantees.

9. Data and Privacy
Section titled “9. Data and Privacy”Smartix processes Personal Data and Pass Data in accordance with:
- Smartix Privacy Policy
- Smartix Data Processing Agreement (DPA)
PAYG customers act as Data Controllers for any personal data included in Pass Data.
Smartix:
- Encrypts pass data, logs, and notifications using AWS KMS
- Decrypts Pass Data only inside secure AWS Lambda environments
- Allows optional unencrypted metadata fields for search purposes
You must ensure any data you upload complies with applicable laws, including UK GDPR.

10. Intellectual Property
Section titled “10. Intellectual Property”Smartix retains all ownership rights to:
- Software
- Systems
- Documentation
- Branding
- Platform design and features
You receive a limited, revocable, non-transferable licence to use the Service under these Terms.
11. Suspension and Termination
Section titled “11. Suspension and Termination”You may stop using Smartix at any time.
Smartix may suspend or terminate your account if:
- You breach these Terms
- You misuse notifications
- You exceed external or internal usage limits
- You fail to pay fees
- You initiate a chargeback
- Your activity causes risk to Smartix systems or other customers
11.1. Account Closure
Section titled “11.1. Account Closure”If you choose to close your account:
- Closure occurs at the end of your current billing period
- You retain access until that date
- No refunds or pro-rated credits are offered
12. Liability
Section titled “12. Liability”Smartix provides the Service on an “as-is” and “as-available” basis.
Smartix is not liable for:
- Loss of profit or business interruption
- Indirect or consequential loss
- Issues caused by Apple, Google, AWS, Stripe, or other third parties
- Notification delays caused by wallet ecosystem infrastructure
Total liability for any claim arising from these Terms will not exceed the amount paid by you in the preceding 30 days.
13. Changes to Terms
Section titled “13. Changes to Terms”Smartix may update these Terms from time to time.

14. Governing Law
Section titled “14. Governing Law”These Terms are governed by the laws of England and Wales.
Any disputes will be handled exclusively by the courts of England and Wales.
